Vista Outdoor appoints two to board for "fresh perspective"

Vista Outdoor, the outdoor sports and recreation group that owns Millett and CamelBak, has appointed Fran Philip and Lynn Utter to its board of directors. Ambassador April Foley has also announced she will soon retire.

Ms Philip has most recently served as chief merchandising officer for L. L. Bean. She’s held leadership roles in specialty retail for more than 35 years and has served for 17 years as an independent director of multiple public and private company boards.

Ms Utter is the chief talent officer of Atlas Holdings, a private investment firm, and she is on two other public boards. She also serves on not-for-profit boards, including the Henry Crown Fellowship Institute at the Aspen Institute, the University of Texas, and the United Way. Prior to her role at Atlas, she was CEO for First Source and president and COO of Knoll.

"We believe Fran and Lynn will be excellent additions to the Vista Outdoor board of directors," said chairman Mike Callahan. "Fran's leadership and strategic product experience at world-respected consumer brands and Lynn's depth of experience with operational and talent management will bring valuable insights to our board."

He added that the group’s nominating and governance committee has been working to bring diversity and “fresh perspective” to its board, with three other board members added during the past two years.

Ms Foley, a member of the board since February of 2015, will be retiring at the end of August. Until then, she will continue to serve as a director and as a member of the board's management development and compensation committee and nominating and governance committee.

New board members will be voted for at the Company's 2020 annual meeting of shareholders in August. The composition of the Vista Outdoor board as proposed to shareholders by management will consist of six male and two female independent members.
